1. The Agreement
These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and NOSCERA ("we", "us", "our") governing your access to and use of the NOSCERA platform — including the website, web application, application programming interfaces, and any related services (collectively, the "Service").
By creating an account, connecting a data source, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and that organisation.
2. Definitions
- Organisation — a workspace you create in NOSCERA that represents a business or practice. An Organisation may have multiple members and roles.
- Member — an individual invited to an Organisation with a defined role and set of permissions.
- Financial Data — accounting, banking, transaction, and related records imported into NOSCERA from a connected source or manual upload.
- Engines — NOSCERA's seven analytical layers: Guardian, Replay, Atlas, Beacon, Forge, Pulse, and Tax.
- Intelligence Assistant — the conversational feature that interprets questions about your financial data and general financial concepts.
- Plan — the subscription tier your Organisation is enrolled in (Free, Pro, Team, Accountant, or Enterprise).
3. Accounts & Eligibility
Who may use NOSCERA
You must be at least 16 years old and legally able to enter into a binding contract. If you use the Service on behalf of a business, that business must be validly formed and authorised to use financial data services in its jurisdiction.
Account security
You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at info@noscera.online if you suspect unauthorised access. We offer email/password authentication and Google single sign-on. You may enable additional safeguards where available.
Account accuracy
You agree to provide accurate, current information when registering and to keep it updated. Providing false or misleading information may result in suspension or termination of your account.
4. Organisations & Roles
NOSCERA is structured around Organisations. When you create an Organisation, you become its first Owner. You may invite others as Members and assign roles — Owner, Administrator, Accountant, Manager, Editor, Viewer, or Read-Only — each with a defined set of permissions.
Your responsibility for members. As an Owner or Administrator, you are responsible for the Members you invite and the roles you assign. You agree to manage access responsibly and to remove Members who no longer require access. Activity performed by a Member within your Organisation is attributable to that Organisation.
Multiple businesses. A single account may belong to multiple Organisations — for example, an accountant managing several client businesses. Each Organisation is independent: its data, settings, billing, and members are scoped to it.
5. Subscriptions & Billing
Plans and entitlements
NOSCERA offers Free, Pro, Team, Accountant, and Enterprise plans. Each plan includes a defined set of entitlements — features, capacity limits, and monthly allowances (including Intelligence Assistant questions). The current catalogue is published on our pricing page and may be updated from time to time.
Billing
Paid plans are billed monthly or annually through our payment provider, Stripe. By subscribing to a paid plan, you authorise us to charge the applicable fee to your payment method on a recurring basis until you cancel. Fees are quoted in GBP unless otherwise stated and may be subject to applicable taxes (such as VAT).
Upgrades and downgrades
You may upgrade or change your plan at any time. Changes take effect immediately where technically possible, and we will prorate or adjust the next billing cycle accordingly. Downgrades take effect at the end of the current billing period unless stated otherwise.
Entitlement enforcement
Certain features are available only on specific plans, and the Service enforces these limits server-side. Reaching a monthly allowance (such as the Intelligence Assistant question limit) will pause that feature until the next cycle or until you upgrade.
6. Acceptable Use
You agree not to, and not to permit others to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose;
- Upload or import data that you do not have the right or authority to access and import;
- Attempt to access, probe, or disrupt the Service's systems, accounts, or data beyond what your role permits;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, internal structure, models, weights, thresholds, scoring formulae, classification logic, prompt templates, or underlying ideas of any part of the Service — including by inspecting network traffic, client bundles, or any output of the Engines or Intelligence Assistant;
- Use any automated tool, scraper, crawler, probe, or systematic method to extract, harvest, copy, or cache content, data, models, or outputs from the Service, except to the limited extent permitted for your own Financial Data;
- Use outputs of the Engines or Intelligence Assistant — including match scores, risk priorities, forecasts, or classifications — to train, fine-tune, benchmark, or develop any competing product, model, or service;
- Use the Intelligence Assistant or any Engine output as a substitute for professional accounting, audit, tax, or legal advice;
- Export or disclose data in violation of applicable law or the rights of others;
- Remove, obscure, or alter any proprietary notices, watermarks, or attribution;
- Resell, sublicense, or re-distribute access to the Service without our written consent;
We may investigate and suspend or terminate access where we reasonably believe these rules have been breached.
7. Financial Data Connectors
NOSCERA can connect to third-party accounting and payment platforms — including Xero, QuickBooks, Sage, FreeAgent, and Stripe — through authorised integrations, and can also import data via CSV upload.
Third-party terms
Connecting a data source may require you to authorise NOSCERA through that provider's OAuth flow. By doing so, you agree to that provider's own terms of service and privacy policy in addition to these Terms. We are not responsible for the practices of third-party providers.
Data accuracy
NOSCERA reflects the data it receives from connected sources. We do not independently verify the accuracy or completeness of data provided by those sources. You are responsible for the accuracy of any data you import or upload.
Disconnection
You may disconnect a data source at any time. Disconnection stops future synchronisation but does not automatically delete data already imported. You may request deletion of imported data as described in our Privacy Policy.
8. Intelligence & AI Features
What the Assistant and Engines do
The Intelligence Assistant interprets questions in plain language and routes them to the relevant Engine, which reads from your imported financial data. Where a question does not relate to your data, the Assistant may answer from general financial knowledge — but it will not fabricate specific figures about your business.
Not professional advice
Outputs from the Assistant and Engines are analytical aids, not professional advice. They do not constitute accounting, audit, tax, legal, investment, or financial advice. You should consult a qualified professional before making decisions based on NOSCERA's output. You remain solely responsible for decisions you make.
AI reliability
AI-generated outputs may contain errors, omissions, or outdated information. NOSCERA draws figures from your ledger rather than generating them from memory, but summaries and narratives produced by AI models may be imperfect. Always verify material figures against source records.
Self-learning
Certain Engines improve over time based on feedback you and your organisation provide (for example, marking a Guardian alert as "not a real issue"). This feedback adjusts how insights are prioritised and surfaced for your organisation. It does not alter the underlying financial figures, which remain derived from your ledger.
9. Licence to Use NOSCERA
Subject to these Terms and your continued compliance with them, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.
This licence does not grant you any right to resell, re-distribute, or make the Service available to third parties, except by inviting Members to your Organisation in accordance with these Terms.
10. Intellectual Property
Our rights
NOSCERA, including its software, design, branding, Engines, and documentation, is owned by us and protected by intellectual property laws. We retain all rights not expressly granted to you here.
Trade Secrets & Confidentiality
The analytical methods that power the Engines and the Intelligence Assistant — including matching and reconciliation scoring formulae, risk priority multipliers and learning adjustments, forecast calibration logic, intent classification weights and thresholds, and the system prompts that govern AI outputs — are proprietary to NOSCERA and constitute our trade secrets. These are kept confidential and are processed exclusively on our servers; they are never delivered to, or intended to be accessible from, your browser or device. The fact that the Service returns a score, band, recommendation, or narrative does not disclose the formula or thresholds behind it.
You acknowledge that these methods derive independent economic value from not being generally known or readily ascertainable, and that we take reasonable measures to keep them confidential. You agree not to attempt, directly or indirectly, to discover, reconstruct, extract, publish, or disclose any such method, formula, weight, threshold, or prompt, whether by reverse engineering, traffic inspection, statistical probing of outputs, or any other means. Where applicable law protects trade secrets (including the Trade Secrets (Enforcement, etc.) Regulations 2018 and the EU Trade Secrets Directive), you agree to maintain the confidentiality of any such information you may become aware of and to use it solely for the purpose of receiving the Service.
Nothing in this section limits any protection granted to us by statute, and our rights in these methods survive termination of these Terms.
Your data
You retain ownership of the Financial Data you import or upload. Granting us a licence to process that data is addressed in our Privacy Policy. Nothing in these Terms transfers ownership of your data to us.
Feedback
If you provide suggestions, ideas, or feedback about the Service, we may use them without any obligation or compensation to you, unless prohibited by applicable law.
11. Fees & Taxes
You are responsible for all fees associated with your Plan. Unless stated otherwise, fees are non-refundable. Applicable taxes (such as VAT) are added at the rate in force at the point of billing. If a payment fails, we may retry it or suspend the Service until payment is resolved.
12. Cancellation & Termination
By you
You may cancel your subscription at any time. Cancellation stops future billing and takes effect at the end of the current billing period. You may also delete your account and any Organisations you own directly from the Service; deletion is irreversible and removes associated data as described in our Privacy Policy.
By us
We may suspend or terminate your access if you breach these Terms, if your account remains unpaid, or if we are required to do so by law. Where practicable, we will provide notice and an opportunity to remedy a material breach before terminating a paid account.
Effect of termination
On termination, your right to use the Service ends immediately. We will retain your data for a limited period to allow export, after which it is deleted in accordance with our Privacy Policy, unless retention is required by law.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
NOSCERA is an analytical and intelligence tool. It is not a substitute for professional accounting, audit, tax, or legal advice, and no advice or recommendation provided through the Service creates a professional or fiduciary relationship between you and us.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOSCERA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS (£100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.
15. Indemnification
You agree to indemnify and hold NOSCERA harmless from any claims, damages, losses, and reasonable legal fees arising from: (a) your breach of these Terms; (b) your misuse of the Service; (c) data you import that infringes the rights of a third party; or (d) your violation of applicable law. We will provide you with notice of any such claim and reasonable cooperation, at your expense.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect, except for changes that are urgent for legal or security reasons, which may take effect immediately. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them will be subject to the exclusive jurisdiction of the courts of England and Wales, except that you may bring a claim in the jurisdiction where you reside if you are a consumer protected by mandatory local law.
